Scope of Projects

An agreement between Boxyline Creative Media Ltd or any of our designers can be arranged with the client via any method of communication, email, video calls, etc.

The price quoted at the beginning of a project is based on the time investment PixaWave LLC or one of our freelance contractors estimated is needed to accomplish everything the client told us wanted to achieve with their project or presentation, but we are happy to be flexible.

If a client wants to change our arrangement or add anything new, we will provide a separate estimate for that.

Boxyline Creative Media Ltd will provide the deliverables on dates mutually agreed upon until all the services are completed.

Boxyline Creative Media Ltd and our contractors agree to perform services until the engagement has ended.

Changes and Revisions

All design work that we do will have a limit of no more than 25 rounds of revisions as part of the quoted price. If a client requires more than 25 revisions, we will require that the client pay for the additional time spent at an hourly rate of 65 USD per hour.

Payment

The client will pay to Boxyline Creative Media Ltd via direct deposit, PayPal, credit card, or other electronic payment processor as agreed to by both parties, no later than the 7th of the month, for work delivered and accepted in the previous month.

Limitation of Liability

Boxyline Creative Media Ltd and our freelance contractors cannot guarantee that the work will be completely error-free and cannot be liable to the client or any third party for damages, including lost profits, lost savings, or other incidental, consequential, or special damages, even if Boxyline Creative Media Ltd or contractors were advised of them.

If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

Copyright

The copyright of all work and deliverables created during a work engagement belongs to the client. Boxyline and our contractors will not display the work as part of a portfolio without the permission of a client.

Termination

This agreement may be terminated at any moment with prior written notice by either party.

Miscellaneous

The parties recognize the uncertainty of the law with respect to certain provisions of this agreement and expressly stipulate that these terms will be construed in a manner that renders its provisions valid and enforceable to the maximum extent possible under applicable law.

To the extent that any provisions of this agreement are determined by a court of competent jurisdiction to be invalid or unenforceable, such provisions will be deleted from this terms or modified so as to make them enforceable and the validity and enforceability of the remainder of such provisions and of this agreement will be unaffected.

Nothing contained in these terms shall create an employer and employee relationship or a principal and agent relationship between Boxyline Creative Media Ltd, or our freelance contractors, and the client. Client and Boxyline Creative Media Ltd or freelance contractors agree to remain at all times during a project, freelance contractors.

Force Majeure

Neither party shall be liable for any failure to perform under this agreement when such failure is due to causes beyond that Party’s reasonable control, including, but not limited to, acts of state or governmental authorities, acts of terrorism, natural catastrophe, fire, storm, flood, earthquakes, accident, and prolonged shortage of energy.

In the event of such delay, the date of delivery or time for completion will be extended by a period of time reasonably necessary by both Boxyline Creative Media Ltd or any of our contractors, and our clients.

If the delay remains in effect for a period in excess of thirty days, the client may terminate this agreement immediately upon written notice to Boxyline Creative Media Ltd. The Parties shall make a good-faith effort to amicably settle by mutual agreement any dispute that may arise between them under this agreement. The foregoing requirement will not preclude either Party from seeking injunctive relief as it deems necessary to protect its own interests.

This agreement will be construed and enforced in accordance with the laws of the United Kingdom, excluding its choice of law rules.

Entire Agreement.

This webpage and all attached or incorporated documents contain the entire agreement between the parties and supersede any previous understanding, commitments, or agreements, oral or written.
